Terms of Service
Effective date: June 1, 2026
These Terms of Service ("Terms") govern your use of SchoolCalendar Pro (the "Service"), operated by Integrated Technology Solutions, LLC ("we," "us," or "our"). By creating an account or otherwise using the Service, you agree to be bound by these Terms.
1. Who can use the Service
The Service is intended for use by United States school districts, schools, boards of education, and their authorized staff, board members, and contractors. By using the Service you represent that:
- You are at least 18 years of age
- You are authorized to act on behalf of the organization whose account you are using
- Your use of the Service complies with applicable laws
If you don't meet these criteria, you may not use the Service.
2. Accounts
You are responsible for the accuracy of the information you provide and for keeping it up to date. You are responsible for safeguarding your password and for all activity that occurs under your account. Notify us promptly at support@ms-itsllc.com if you become aware of any unauthorized access or use of your account.
Organization administrators are responsible for the actions of users they invite. By inviting another user to an organization, you affirm that the invited person is authorized to access your organization's data.
3. Acceptable use
You agree not to:
- Use the Service in any way that violates applicable laws or regulations
- Attempt to gain unauthorized access to any portion of the Service or to data belonging to another organization
- Probe, scan, or test the vulnerability of the Service without prior written authorization
- Interfere with or disrupt the integrity or performance of the Service
- Reverse engineer or attempt to extract the source code of the Service except where permitted by applicable law
- Use the Service to send unsolicited communications, harass others, or distribute malicious content
- Resell, sublicense, or otherwise commercially exploit the Service except as expressly permitted
We reserve the right to suspend or terminate accounts that violate these provisions.
4. Your data
You retain all rights to the calendar, voting, and operational data you put into the Service ("Your Data"). You grant us a limited, non-exclusive license to host, store, transmit, display, and process Your Data solely as needed to operate and improve the Service for you.
We will not access, use, or disclose Your Data except as described in our Privacy Policy or as necessary to:
- Provide, maintain, and improve the Service
- Provide customer support you request
- Comply with applicable law or a valid legal process
- Protect the security or integrity of the Service
5. Service availability
We aim to keep the Service available but do not guarantee uninterrupted access. We may schedule maintenance windows, update the Service, or temporarily suspend access to address security or operational issues.
6. Fees and billing
Pricing. Annual subscription fees are based on your organization's total student enrollment, as set out below. Fees are charged once per year and cover all users in your organization.

Pricing is based on the most recent enrollment figure published by your state department of education or the National Center for Education Statistics (NCES), whichever is more current.
Billing cycle. All fees are billed annually in advance. Invoices are issued at the start of each subscription year and are due Net 30 from the invoice date. Payment may be made by check, ACH transfer, or purchase order.
Renewal. Subscriptions renew automatically each year at the then-current rate for your tier. To cancel a subscription before the next renewal, your organization administrator must provide written notice at least 90 days before the end of the current subscription year. Notice may be sent by email to support@ms-itsllc.com or by postal mail to the address at the end of these Terms.
We will email your organization administrator at least 120 days before the renewal date as a reminder. Failure to give the required 90 days' notice means the subscription renews for another full year.
Price changes. Pricing for renewal terms may change. We will provide written notice of any price change at least 90 days before the renewal date. Your current rate is locked for the remainder of the paid term in which the change is announced.
No refunds. Subscription fees are non-refundable. If you cancel mid-term, service continues through the end of the paid period and no refund or pro-rata credit is issued.
Taxes. Fees are exclusive of taxes. If your organization is tax-exempt, please provide a current exemption certificate to support@ms-itsllc.com before your first invoice.
Late payment. Invoices not paid within 30 days of the due date accrue interest at the lesser of 1.5% per month or the maximum permitted by applicable law. Accounts more than 60 days past due may be suspended with 14 days' written notice and an opportunity to cure.
7. Intellectual property
The Service, including the underlying software, design, logos, and content (other than Your Data), is owned by Integrated Technology Solutions, LLC and is protected by intellectual-property laws. These Terms do not grant you any right to use our trademarks or branding without our prior written consent.
8. Third-party services
The Service relies on third-party providers (including those listed in our Privacy Policy) for hosting, email delivery, and related infrastructure. Their availability and behavior are governed by their own terms. We are not responsible for outages, errors, or other issues caused by third-party services beyond our reasonable control.
9. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DATA YOU STORE WILL BE SECURE OR NEVER LOST. YOU ARE RESPONSIBLE FOR MAINTAINING YOUR OWN BACKUPS OF DATA YOU CONSIDER CRITICAL.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INTEGRATED TECHNOLOGY SOLUTIONS, LLC OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.
OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOUR ORGANIZATION TO US FOR THE SERVICE IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
11. Indemnification
You agree to defend, indemnify, and hold harmless Integrated Technology Solutions, LLC from any claim, demand, damage, or expense (including reasonable attorneys' fees) arising out of your violation of these Terms, your misuse of the Service, or your violation of any third-party rights.
12. Termination
You may terminate your account at any time by contacting your organization administrator or by contacting us at support@ms-itsllc.com.
We may suspend or terminate your account or your organization's access to the Service if:
- These Terms are materially violated
- Your use of the Service creates legal exposure or operational risk to us
- The Service is discontinued
On termination, the provisions of these Terms that by their nature should survive termination (including ownership, disclaimers, indemnification, and limitations of liability) will survive.
13. Governing law
These Terms are governed by the laws of Mississippi, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Jackson County, Mississippi, and you consent to the personal jurisdiction of those courts.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated to organization administrators by email and reflected by an updated effective date at the top of this page. Continued use of the Service after a change constitutes acceptance of the revised Terms. If you do not agree to a change, your remedy is to stop using the Service.
15. Entire agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Integrated Technology Solutions, LLC regarding the Service, and supersede any prior agreements on the same subject matter. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
